الملخص:
تحتاج سوق الأوراق المالية لمجموعة من الوسائل والآليات للوصول إلى الكفاءة، ومن بين هذه الآليات ضمان التزام الشركات المقيدة في السوق بالإفصاح عن المعلومات الخاصة بها وبكل شفافية ووضوح.
وفي المقابل نجد أن حوكمة الشركات تعبر عن القواعد التي تحدد كيفية اتخاذ الشركات لقراراتها والشفافية التي تحكم عملية اتخاذ القرارات فيها، ومدى المساءلة التي يخضع لها مديرو ورؤساء الشركات، وتحدد مدى الإفصاح عن المعلومات وشفافيتها، وتعمل على حماية مصالح جميع الأطراف ذات الصلة بالشركة من خلال حقهم في الحصول على معلومات موثوقة وملائمة لاتخاذ القرارات.
وتهدف هذه الورقة البحثية إلى ابراز دور تطبيق مبادئ حوكمة الشركات في تحسين كفاءة سوق الأوراق المالية، وزيادة نشاطها، مع دراسة حالة سوق الإمارات العربية للأوراق المالية.

Abstract:
To get to the efficiency in Stock market. the market need for a range of means and mechanisms, And among these mechanisms, we find: ensure the commitment of listed companies in the market to disclose their own information and full transparency and clarity.
In contrast, we find that corporate governance Represent the rules that determine how to take the company to its decisions, And the Transparency that accompany the decision-making process. And The extent of the interrogation of governing managers and heads of companies, And determined the extent of information disclosure and transparency, And is working to protect the interests of all parties that are relevant with the company. through their right to obtain reliable and appropriate information to make decisions.
This paper aims to highlight the role of the application of the principles of corporate governance in improving the efficiency of the stock market, And increased its activity, with study the case of Stock Market of UAE.
